Terms of Service

Welcome to Sendli. These Terms of Service (“Terms”) govern your access to and use of the Sendli website, application, and related services (collectively, the “Service”) operated by Sendli (“we,” “our,” or “us”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Eligibility & Accounts

You must be at least 18 years old, or the age of majority in your jurisdiction, to use Sendli. By creating an account, you represent that you meet this requirement and that the information you provide is accurate and complete.

You are responsible for safeguarding your account credentials and for any activity that occurs under your account. Notify us promptly if you believe your account has been accessed without your authorization.

2. Description of the Service

Sendli is a web application that helps organizations create and publish AI-generated newsletters. Features may include event management, calendar integration, AI-assisted content generation, publishing to a public subdomain URL, and related tools. We may add, modify, or remove features at any time as the Service evolves.

3. Free Trial & Subscriptions

Sendli offers a free trial period. You may use the Service during the trial without providing payment information. At the end of the trial, continued access requires a paid subscription.

Paid subscriptions are billed on a recurring basis (monthly or annually, depending on the plan you select) through our payment processor, Stripe. By subscribing, you authorize us to charge your payment method for the applicable fees until you cancel.

You may cancel your subscription at any time from your account settings. Cancellations take effect at the end of the current billing period, and you will continue to have access until that date. Except where required by law, fees already paid are non-refundable.

4. Your Content

You retain all rights to the content you upload, create, or publish through Sendli (“Your Content”), including notes, event details, images, and newsletter text. You are solely responsible for Your Content and for ensuring you have the rights to use, upload, and publish it.

By submitting Your Content to Sendli, you grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, process, display, and transmit Your Content solely for the purpose of operating and providing the Service to you. This includes sending your content to third-party AI providers (such as Google’s Gemini API) to generate newsletter drafts at your request, and publishing newsletters to the public URL you choose.

5. AI-Generated Output

Sendli uses AI models to help draft newsletter content based on the information you provide. AI-generated output may contain errors, inaccuracies, or unexpected results. You are responsible for reviewing, editing, and verifying any AI-generated content before publishing it. We do not guarantee the accuracy, completeness, or suitability of AI-generated output for any particular purpose.

6. Acceptable Use

You agree not to use Sendli to:

  • Violate any applicable law or regulation
  • Infringe the intellectual property, privacy, or other rights of any third party
  • Upload, generate, or publish content that is unlawful, defamatory, harassing, hateful, sexually explicit, or otherwise harmful
  • Distribute spam, malware, or other malicious content
  • Attempt to gain unauthorized access to the Service, other users’ accounts, or our infrastructure
  • Interfere with or disrupt the Service, including by overloading our systems or bypassing rate limits
  • Reverse engineer, decompile, or attempt to extract source code from the Service
  • Resell, sublicense, or repurpose the Service without our written permission
  • Use the Service to train competing AI models or build a competing product

We reserve the right to investigate and take appropriate action against any violation of these Terms, including suspending or terminating accounts.

7. Intellectual Property

The Service, including its software, design, logos, and branding, is owned by Sendli and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or branding without our prior written consent.

8. Third-Party Services

Sendli relies on third-party services, including Supabase (hosting, database, authentication), Stripe (payments), and Google (Gemini AI). Your use of the Service is also subject to the terms and policies of these providers where applicable. We are not responsible for the availability, accuracy, or practices of third-party services.

9. Termination

You may stop using Sendli and delete your account at any time. We may suspend or terminate your access to the Service, with or without notice, if we believe you have violated these Terms, if required by law, or if we discontinue the Service.

Upon termination, your right to use the Service ends immediately. Sections of these Terms that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will continue to apply.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components.

11. Limitation of Liability

To the maximum extent permitted by law, in no event will Sendli, its affiliates, or its service providers be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service. Our total liability for any claim arising out of these Terms or the Service will not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) one hundred US dollars ($100).

12. Indemnification

You agree to defend, indemnify, and hold harmless Sendli and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) Your Content, (b) your use of the Service, (c) your violation of these Terms, or (d) your violation of any rights of a third party.

13. Changes to the Service or Terms

We may modify or discontinue any part of the Service at any time. We may also update these Terms from time to time. If we make material changes, we will update the effective date above and may provide additional notice where appropriate. Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the United States and the state in which Sendli is established, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in that state for the resolution of any disputes arising out of these Terms or the Service, except where prohibited by applicable law.

15. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sendli regarding the Service. If any provision is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign these Terms without our prior written consent.
